This Agency Addendum applies to any team that uses QikTools to make content for other businesses or people (“Clients”) — in particular through client workspaces, an Agency plan, or the client review portal. The team's owner (“you” or “the Agency”) accepts it for the team, and every member of the team must follow it.
It adds to our Terms of Service, our AI & Acceptable Use Policy, our Privacy Policy and our Data Processing Agreement (DPA). If this addendum and the Terms conflict on something agency-specific, this addendum wins; the DPA governs how we process personal data for you.
Before you upload or generate anything for a Client, you must have every right and permission it needs: licences for logos, product photos, fonts, music, scripts and other material your Client gives you, and the right to use any trademark or brand in the way you use it.
You are responsible for what the content says: claims must be true and able to be proved (keep the proof — a client workspace has a place for it), advertising must be identifiable as advertising where the law requires, and endorsements and testimonials must be genuine and properly disclosed. Sector rules (for example for finance, health, alcohol, gambling or children's products) apply as they would to any agency.
You are responsible for your Clients and their reviewers when they use anything you give them through QikTools, such as a review link.
Our AI & Acceptable Use Policy, including the usage policies of the AI providers listed in it (for example Runway, fal and ElevenLabs, whose voices may not be used for some product categories), applies to every brief, upload and output, whichever Client it is for. You must not use QikTools to make content for a Client that you could not lawfully make for yourself.
You must refuse, or stop, a Client request that would break these rules, and you must not try to get round our safety checks on a Client's behalf.
The consent rules in our Terms apply to every Client exactly as they apply to you. Before you use a real person's face, likeness or voice — a Client's founder, staff, talent or customers — you must have that person's express, informed, written consent for that use, and you confirm it each time QikTools asks. You may never use the face or voice of a public figure, of anyone who hasn't consented, or of a child in realistic content, even if your Client asks you to.
Keep each written consent for at least six years after you last use that face or voice, and send it to us within 7 days if we ask (for example after a complaint). If a person withdraws consent, stop using their likeness or voice in new work and tell us if anything we host needs to be removed.
Outputs keep their AI labels, Content Credentials and watermarks where QikTools adds them, and you must not remove them, or ask your Client to remove them, where the law requires AI-made content to be disclosed (for example the EU AI Act and India's IT Rules). White-labelling does not change this.
Where a Runway model is used, “Powered by Runway” (or any other attribution a provider requires) stays visible, including on your white-label review portal. We show only the attributions and legal notices the law or our providers require.
You may present the client review portal under your own name, logo, colours and — on plans that include it — your own domain. You must own or control any domain you connect, and keep its DNS records accurate.
You must not suggest that your Clients have an agreement with QikTools, that QikTools endorses you, or that you made the AI models yourself, and you must not use the QikTools name or logo without our written permission. Emails we send to your Clients on your behalf name you as the sender “via QikTools” and say who delivers them.
You may sell your services, and the content you make with QikTools, to your Clients at any price and on any terms you choose.
You may not resell, sublicense, rent or give access to QikTools itself: not your account or seats (each person who uses QikTools must be a member of your team on a paid seat), not our Developer API, and not the AI models behind QikTools, whether directly or as a pass-through or “service bureau” offering under your own brand. Clients use the review portal only to view, approve and comment on what you send them.
We bill you, and only you, for your plan, seats and credits, through our payment partner. You are responsible for your own prices, invoices and taxes to your Clients. Client budgets and usage reports in QikTools are tools to help you run your work; they are not invoices, and we are not a party to your agreements with your Clients.
Credits belong to your team. A Client's dispute with you is between you and that Client and doesn't change what you owe us. Refunds follow our Refund Policy.
For your Clients' content and for the personal data of your Clients and their reviewers that you put into, or collect through, QikTools (for example contact details, brand materials, files, and a reviewer's name, optional email address and comments), you are the controller (or, where you act for your Client, its processor) and we process it on your behalf as your processor (or sub-processor). Our Data Processing Agreement applies to that processing and forms part of this addendum; our list of sub-processors applies.
You must have a lawful basis for that data and give your Clients and their reviewers the privacy information the law requires — your portal can link to your own privacy notice. You handle requests from them about their data; QikTools gives you the tools (you can delete a review link, remove a reviewer's comment, remove someone's portal sign-in, or delete a client workspace) and passes on to you any request we receive about your portal.
If you let people at a Client sign in to your portal, add only people who work for that Client and whom the Client has authorised — each of them can see every review link you send that Client — keep the list current, and remove anyone who should no longer have access. They sign in with a one-time code we email them on your behalf; the email addresses you add are personal data you control.
Some AI providers' terms let them use what is sent to their models to improve those models (Runway's do). We switch this off wherever a provider lets us; where it can't be switched off, you must tell your Clients if the law requires it.
For your own team's accounts, we are the controller, as our Privacy Policy explains.
Each of us keeps the other's confidential information confidential and uses it only for our agreement. Our staff access your Clients' content only to provide, secure and support the service, to comply with the law, or to enforce our policies, as our Privacy Policy and the DPA describe.
Anyone who has a review link can open it until it expires or you turn it off, so share links only with the right people and use a password and an end date for sensitive work. A person you allow to sign in for a Client can open all of that Client's open review links, including password-protected ones, until you remove them.
We may turn off a review link, pause a client workspace, or suspend your team if we reasonably believe content or use breaks this addendum, our policies or the law, and we may tell affected people or the authorities where the law requires. Our takedown and appeal processes apply.
You will defend and compensate QikTools against claims by third parties (including your Clients and people shown in content) that arise from content you or your Clients provided or asked for, from a missing consent or licence, or from your breach of this addendum. Otherwise the limits of liability in our Terms apply.
Export your Clients' files and reports before you close your team: deleting the team deletes its client workspaces, folders and review links. Review links that were turned off or expired are deleted a year later, usage records after 25 months, and reviewers' connection fingerprints (used only to stop abuse) after 90 days.
We may update this addendum as our Terms describe. If a change matters, we'll tell you and ask the team owner to accept the new version in the app before continuing to use client workspaces.
